Terms and Conditions for Vendors Registering on TFM (Seller Agreement)

  1. Introduction
    By registering as a vendor, you agree to these Terms and Conditions (the “Agreement”), which outline your responsibilities and obligations when selling products on TFM’s platform.
  2. Eligibility
    Vendors must:
    Be registered businesses with all necessary permits and licenses required under Canadian law.
    Adhere to food safety laws, including compliance with the Food and Drugs Act and Health Canada regulations.
  3. Vendor Responsibilities
    Product Listings: Vendors must ensure accuracy and legality of product descriptions. images, and prices.
    Compliance: Vendors must comply with all applicable laws, including food labeling and packaging regulations.
    Quality Standards: Products must meet applicable health and safety standards. Vendors must maintain proper storage and handling for perishables.
    Inventory Management: Vendors are responsible for updating product availability on the Site in real-time.
  4. Sales Commission and Fees
    TFM charges a sales commission outlined in the Vendor Registration Agreement. Any changes to commission rates will be communicated with at least 30 days’ notice.
    Vendors are responsible for applicable listing and transaction fees.
  5. Order Fulfillment and Shipping
    Vendors must fulfill orders promptly and use appropriate shipping methods for perishables.
    Vendors are liable for damages caused by improper packaging or storage during transit.
  6. Returns and Customer Service
    Vendors must address customer complaints promptly and in accordance with TFM’s return policy.
    Vendors indemnify TFM against claims arising from product quality or safety issues.
  7. Intellectual Property
    Vendors retain ownership of their intellectual property but grant TFM a license to use product descriptions, images, and trademarks for marketing.
    Vendors may revoke TFM’s use of intellectual property upon account termination.
  8. Limitation of Liability
    Vendors agree to indemnify TFM against claims related to product defects, non-compliance with laws, or intellectual property disputes.
  9. Governing Law
    This Agreement is governed by the laws of Ontario, Canada. Disputes are subject to binding arbitration in Toronto, Ontario.
  10. Termination
    TFM reserves the right to suspend or terminate vendor accounts for non-compliance. Vendors may terminate accounts with written notice.
  11. Contract Terms and Renewal Clause:
    In the event of a breach of contract by vendors, a penalty of $50,000 will be imposed. The vendor contract is subject to automatic renewal every 6 months unless otherwise specified.

  12. Amendments
    Changes to this Agreement will be communicated via the vendor portal and take effect immediately upon posting.
